Terms & Conditions - Digital Representative Terms

1. Role of Digital Representative

As a Digital Representative ("Digital Rep"), BeVisible Online Solutions ("We", "Us", "Our") resells products and services provided by third-party businesses ("Partners"). We act as an intermediary, facilitating the sale of these products and services on an agreed commission basis. Our role is limited to promotion, marketing, and selling on behalf of our Partners.

2. Commission Structure

We operate on an agreed percentage commission for every sale facilitated by BeVisible Online Solutions. The specific commission rate is negotiated and agreed upon with each Partner prior to any sales activity.

Partner's Existing Program: If the Partner has a formal reselling or affiliate program, the terms of that program, including commission rates and payment schedules, will apply to our work.

Partners Without a Reselling Program: If the Partner does not have an existing reselling or affiliate program, they must agree to our standard commission terms. These terms will be clearly communicated and must be accepted by the Partner before we begin promoting and selling their products or services.

3. Client Attribution

A client will be considered as having been brought in by BeVisible Online Solutions when BeVisible Online Solutions has mentioned the Partner to the client and entered the client’s details into our CRM as a potential lead for the Partner. BeVisible Online Solutions will continue to nurture the relationship with the client until they express interest in engaging directly with the Partner, at which point we will formally introduce the client to the Partner. This process will establish the client as originating from BeVisible Online Solutions and will be the basis for determining commission eligibility.

To further ensure accurate attribution, BeVisible Online Solutions may propose unique recognition codes for each Partner. These codes can be used by the Partner to track and reference clients back to BeVisible Online Solutions, even if the client bypasses the offered appointment and engages with the Partner directly through their website or other channels. In such cases, the Partner agrees to use the recognition code to attribute the client to BeVisible Online Solutions and to pay the due commission accordingly. Any disputes regarding client attribution and commission eligibility will be resolved in favor of this criterion.

4. Marketing Materials and Promotional Rights

When a Partner engages BeVisible Online Solutions as a Digital Rep, they grant us access to all necessary marketing materials, including but not limited to pdf, scripts, resources, emails, videos, phone scripts, text messages, and any other promotional content required to effectively market and sell the Partner’s products or services. This access is essential for us to fulfill our role and successfully drive sales on behalf of the Partner.

5. Termination of Partnership and Recurring Commission

BeVisible Online Solutions primarily works on a recurring commission basis with Partners who have long-term recurring clients.

For products or services involving a one-time fee, the Partner may terminate the partnership at any time if they choose not to continue working with BeVisible Online Solutions.

However, for services or products that generate recurring revenue, the Partner cannot terminate the recurring commission arrangement for any client brought in by BeVisible Online Solutions as long as that client continues to use the Partner's services. The Partner guaranteed recurring commission for BeVisible Online Solutions from the moment the client signs up with the Partner through BeVisible Online Solutions until the client ceases to use the Partner’s services. Termination of the partnership does not affect the payout of ongoing recurring commissions, which will only end when the respective client cancels their service with the Partner.

6. Taxation and Invoicing

Partner's Responsibility: The commission paid to BeVisible Online Solutions is taxed and declared by the Partner paying the commission. It is the Partner's responsibility to comply with all relevant tax laws and regulations concerning the payment of commissions.

BeVisible Online Solutions' Responsibility: BeVisible Online Solutions is responsible for paying personal income tax on commissions received, in accordance with Hungarian state laws. No invoices are produced by BeVisible Online Solutions for commission-based work, as the commission is declared and taxed by the Partner (who owns the services and products resold by BeVisible Online Solutions - alias Lavinia Meek as per point 7).

7. Products and Services

All products and services offered by BeVisible Online Solutions as a Digital Rep are sourced from third-party Partners. We do not own or manufacture these products or services, nor do we provide any warranties, guarantees, or after-sales support beyond what is provided by the Partner. For any complaints on services and products received by the partners Represented By BeVisible Online Solutions, please get in touch with the relevant partner.

8. Customer Relationship

When you purchase products or services advertised through BeVisible Online Solutions, you acknowledge that the transaction is between you and the respective Partner. Our responsibility is to ensure that the transaction is processed smoothly; however, any issues related to the product or service itself, including but not limited to quality, delivery, and customer support and satisfaction, should be directed to the Partner directly.

9. Liability

BeVisible Online Solutions assumes no liability for the products and services sold as a Digital Rep beyond the facilitation of the transaction. Any claims, damages, or disputes must be resolved directly with the Partner. We are not responsible for any errors, omissions, or misrepresentations made by the Partner itself.

10. Returns, Refunds, and Cancellations

The terms for returns, refunds, and cancellations are governed by the policies of the Partner from whom the product or service was purchased. BeVisible Online Solutions will assist in facilitating communication between the Customer and the Partner to resolve such issues, but the final decision rests with the Partner. No payments are directly taken from the client by BeVisible Online Solutions. The Client is directed to purchase or sign up to the services of the Partner, who is in return guaranteeing already agreed % commission to BeVisible Online Solutions.

11. Modifications to Digital Rep Terms

We reserve the right to modify these Digital Representative Terms at any time. Any changes will be effective immediately upon posting to our website. Continued use of our services after any such changes shall constitute your consent to such modifications.
